ERISA / Employee Benefits and Executive Compensation

Designing, drafting, implementing or reviewing executive compensation plans including deferred compensation agreements, long-term incentive plans, stock options and consulting agreements.

Offering guidance in complying with the qualification requirements of ERISA, the Internal Revenue Code and other statutes and regulations governing employee benefits plans including pension, profit-sharing, Section 401 (k) cash or deferred arrangements, stock options, restricted stock and other equity compensation plans, nonqualified deferred compensation plans, individual retirement accounts, and simplified employee pension plans. Advising on related issues including nondiscrimination in minimum coverage and participation, vesting, funding, tax deductions, fiduciary duties, reporting and disclosure, distributions and prohibited transtactions.

Advising fiduciaries on avoiding prohibited transactions and making plan corrections through the Voluntary Fiduciary Correction Program and Voluntary Compliance Program.
